These Terms of Service ("Terms") govern your access to and use of FinqChat's website, products, and services ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

FinqChat provides an AI-powered invoice processing and accounting automation service that:

• Extracts data from uploaded invoices using OCR and AI
• Categorises and processes invoice data
• Integrates with accounting software (Xero, QuickBooks)
• Provides reporting and analytics
• Connects with third-party applications

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised access

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payment

4.1 Free Tier

We offer a free tier with limited features and document processing allowances. Free tier terms may change with notice.

4.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. You authorise us to charge your payment method for all fees incurred.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious files, viruses, or harmful code
• Attempt to gain unauthorised access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to process fraudulent or falsified documents
• Resell or redistribute the Service without permission
• Exceed your subscription's usage limits through automation or other means
• Upload content that infringes intellectual property rights

6. Your Data

6.1 Ownership

You retain ownership of all data you upload to the Service ("Your Data"). We do not claim any ownership rights over Your Data.

6.2 License to Us

You grant us a limited license to use, process, and store Your Data solely for the purpose of providing the Service. This includes processing by our AI systems and third-party service providers.

6.3 Data Accuracy

You are responsible for ensuring the accuracy and legality of Your Data. The Service uses AI which may occasionally make errors - you should verify extracted data before submitting to accounting systems.

6.4 Data Deletion

You may request deletion of Your Data at any time through your account settings or by contacting us. Some data may be retained as required by law.

7. Third-Party Integrations

The Service integrates with third-party services (Xero, QuickBooks, Slack, etc.). When you connect these services:

• You authorise us to access and transmit data to/from these services
• Your use of third-party services is subject to their terms and privacy policies
• We are not responsible for the availability or functionality of third-party services
• You may disconnect integrations at any time through your settings

8. Intellectual Property

The Service, including its design, features, and content, is owned by FinqChat and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

FinqChat, our logo, and other marks are our trademarks. You may not use these without our written permission.

9. Disclaimers

Specifically, we do not warrant that:

• The Service will be error-free or uninterrupted
• AI-extracted data will be 100% accurate
• The Service will meet your specific requirements
• Any errors will be corrected

The Service is not a substitute for professional accounting or tax advice. You should verify all extracted data and consult qualified professionals for accounting and tax matters.

10. Limitation of Liability

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless FinqChat, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time for:

• Violation of these Terms
• Non-payment of fees
• Conduct that we believe is harmful to other users or the Service
• As required by law

Upon termination, your right to use the Service ceases immediately. You may request a copy of Your Data within 30 days of termination.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and FinqChat regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
• Notices: We may send notices to the email address associated with your account.
